1. Introduction

1.1 Definitions

Throughout these Terms and Conditions ("Terms") "Study Command", "studycommand.com", "website", or "site" shall refer to the Study Command website (http://localhost) in its entirety; "web app" or "app" shall refer to areas of the website that are only accessible to users that have signed up for a Study Command account and logged in with those credentials. "Services" shall refer to the features of the Study Command web app or app. "User" or "Users" or "you" shall refer to any person who uses the Website, Web App, Services, or in any way interacts with or reads content made available by EXAZETA LTD.

1.2 A General Welcome

Welcome to Study Command, this website and web app are intended to aid users in being as productive as possible.

1.3 Website Ownership

Study Command is a website that is owned and run by EXAZETA LTD (12913444).

1.4 Early Access

The Study Command Web App is still in development; this means that bugs may be present, features may not be present or may not work as expected, and that content may be limited. If you do not wish to use the web app in an early stage of development, you should not do so. EXAZETA LTD will accept no liability for any loss or damages arising in any way from any use of this website.

1.5 Acceptance of this Agreement

These Terms constitute a legal document and your acceptance of these terms are a legally binding contract.
By using this website you are agreeing to be bound by these Terms and the Study Command Privacy Policy (found here) and the Study Command Cookie Policy (found here). It is essential that these documents are read and understood prior to any use of this site, the responsibility for this lies solely with the user and not with EXAZETA LTD.

If you do not agree to these Terms or any aspect of these Terms, or do not agree to any aspect of any other Policy listed above, you must not use this website.

These Terms and Conditions are to be considered to be in effect from 16th July 2023.

2. Disclaimer

Study Command is a website intended for personal purposes ONLY. UNDER NO CIRCUMSTANCES should this site, or any information contained herein, be used for professional or informational purposes. Although infomation published on this website is published in good faith, neither the author of the information or EXAZETA LTD shall take any responsibility for the accuracy of the information. Neither the author of the information or EXAZETA LTD shall be responsible or liable in any way for damages of any nature resulting from the use (or misuse) of this website or information contained on this site.

3. Use of this Website

3.1 Use of this Website Requires and Implies Acceptance of this Agreement

By using this website, either with or without a Study Command account, you are agreeing to be bound by the terms of this agreement, as illustrated in Section 1.5 of these Terms. You are agreeing to use this website in line with what is considered Acceptable Use (Section 3.2). You acknowledge that Unacceptable Use (Section 3.3) may result in the termination of your account.

3.2 Acceptable Use

This website is intended for use for personal purposes only ("Acceptable Use"). Use outside of the scope of Acceptable Use may be considered Unacceptable Use.

3.3 Unacceptable Use

3.3.1 Consequences of Unacceptable Use

Unacceptable Use is considered to be anything outside of the scope of Acceptable Use. Unacceptable Use may result in action being taken against you; this action may include, but is not limited to, the termination or restriction of your account, the blocking of your IP address, legal action being taken against you, and criminal prosecution where appropriate.

3.3.2 Examples of Unacceptable Use

Unacceptable Use includes, but is not limited to:

  • Use of this site for the purposes of breaking any law of the United Kingdom, or any other jurisdiction.
  • Attempts to compromise the security of this site in any way.
  • Attempts to log in to the web app with credentials other than your own, or knowingly using another individuals account.
  • Attempts to upload malicious, harmful, explicit, or illegal content to this site; or attempts to upload any content that falls outside of the scope of Acceptable Use (Section 3.2).
  • Attempts to breach copyright.

4. Your Study Command Account

4.1 Signing Up for an Account

In signing up for a Study Command account, you acknowledge and accept that your data will be stored as outlined in the Study Command Privacy Policy. You must only sign up for an account using your own email address. Your password must be strong and secure and must never be shared with any other individual, EXAZETA LTD accepts no liability for any loss or damages incurred as a result of a third party gaining access to your account.

4.2 Your Obligations as a Study Command Account Holder

Once you have signed up for an account, you are obliged to maintain the security of your account through keeping your password strong and secure, never sharing your password, and changing your password when appropriate. You are obliged to report any attempt or potential attempt to breach your account to EXAZETA LTD. You are obliged to report any potential security vulnerabilities you become aware of to EXAZETA LTD as soon as it is possible to do so.

4.3 Use of your Study Command Account

You may use your Study Command account to access the web app and its services. Use of your Study Command account must fall within the scope of Acceptable Use (Section 3.2).

4.4 Account Inactivity

In line with data protection obligations, your Account and User Data will be deleted after a period of inactivity - typically 18 months. Termination of your account and deletion of your data for reasons of account inactivity will not typically be done without an attempt to inform you being made.

4.5 Termination of an Account

When an account is terminated, the associated Account Data and User Data will be deleted.
The reasons your account may be terminated and your Account and User Data deleted include, but are not limited to:

  • A request by you to delete an account, either through an automated account deletion mechanism found on the Study Command web app, or through a direct request to EXAZETA LTD.
  • Account inactivity (Section 4.4).
  • Breach of these Terms, or breach of any other agreement between yourself and EXAZETA LTD.
  • As part of action being taken against you in cases of Unacceptable Use (Section 3.3).
  • As part of action being taken against you in cases of suspicion of Unacceptable Use (Section 3.3).
However, EXAZETA LTD reserves the right to terminate any or all Study Command accounts at its disgression. An attempt to provide fair warning of impending account termination will be made in circumstances where this is appropriate.
EXAZETA LTD is not liable for any loss or damages arising either directly or indirectly from the termination of an account or from the deletion of Account or User Data.

4.6 Locking of an Account

When an account is locked a user will be prevented from logging in. EXAZETA LTD reserves the right to lock to lock any and all user accounts at its disgression and without prior warning.
EXAZETA LTD is not liable for any loss or damages arising either directly or indirectly from the locking of an account.

The reasons an account may be locked include, but are not limited to:

  • Breach of these Terms, or breach of any other agreement between yourself and EXAZETA LTD.
  • As part of action being taken against you in cases of Unacceptable Use (Section 3.3).
  • As part of action being taken against you in cases of suspicion of Unacceptable Use (Section 3.3).

5. The Study Command Web App, Services and Prices

5.1 The Study Command Web App is Under Development

The Study Command Web App is under development; this means that bugs may be present, features may not be present or may not work as expected, and that content may be limited. If you do not wish to use the web app in an early stage of development, you should not use it. EXAZETA LTD will accept no liability for any loss or damages arising in any way from any use of this website.

5.2 Service Provision

Services are provided in the so-called Freemium model where a set of Services is free to use and allows to use the App to a certain extent which is covering basic needs of Users. A more comprehensive set of Services is enabled to its Users in Trial or Premium mode, which allows its Users access to further functionalities.

Services are divided into Free features and Premium features. EXAZETA LTD has the right to add or limit the scope of Services at any time.

Current information about the prices of the App and the related Services are always available on the Study Command website.

5.3 Changes to Services and to Pricing of Services

EXAZETA LTD reserves the right to modify or discontinue the App (or any part thereof), temporarily or permanently at any time.

Prices of all Premium features, including but not limited to monthly / annual subscription plan fees, are subject to change without a notice from EXAZETA LTD. The change in pricing does not affect prices of Premium features you are already subscribed to. EXAZETA LTD shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the App and/or the Services.

5.4 Privileged Account Status

EXAZETA LTD reserves the right to grant any User account Privileged Account status. An account with Privileged status may be granted access to Premium features regardless of whether an active subscription is being paid for. EXAZETA LTD reserves the right to revoke this status at any time and without prior warning.

5.5 Early Adopter Status

EXAZETA LTD reserves the right to grant any eligible User account Early Adopter status. An account with Early Adopter status may be granted access to Premium features regardless of whether an active subscription is being paid for. Early Adopter status will not be revoked, although it may be changed to Privileged Account status.

Users will become eligible for Early Adopter status if the sign up for a Study Command account within the Early Adopter Period. The Early Adopter Period will run at the disgression of EXAZETA LTD. It may be stopped and restarted at the disgression of EXAZETA LTD without prior warning.

6. Charges, Payment, and Promotions

6.1 Charges for Services and Use

EXAZETA LTD reserves the right to charge for access to any and all aspects of this website and the Study Command Web App. Your access to the website and web app may be limited depending on whether you have purchased the requisite subscription. A subscription will allow access to a pre-defined aspect of the website or web app for a pre-defined length of time. Should you be found to be in breach of any aspect of these Terms, access to any or all of this website or web app may be revoked, regardless of any subscription that has been purchased. Having a Study Command account does not exempt you from any requirement for payment of this subscription.
EXAZETA LTD reserves the right to waive the requirement for any individual to purchase a subscription.

6.2 Refunds

No refund, either partial or full, shall be issued to any user, except at the sole disgression of EXAZETA LTD.

User requests for the refund of a payment must be received by EXAZETA LTD within 14 days of the payment being made. If a refund is issued, access to the Services for which the payment was made will be revoked.

6.3 Promotions

EXAZETA LTD reserves the right to run promotions, which may or may not include discounted subscriptions, free trials, or a waiver of the requirement to purchase a subscription, either indefinitely or for a pre-specified period of time.
Any promotion will have its own set of Terms to be agreed to, which will be clearly advertised by EXAZETA LTD. Any participation in promotions requires agreement to these and any other Terms.

7. Advertisements

EXAZETA LTD reserves the right to run paid advertisements on any aspect of the Study Command website and web app. The presence of third party advertisements on this website does not imply any endorsement of the content of these advertisements by EXAZETA LTD.

8. Third-Party Services

Users acknowledge that the EXAZETA LTD uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Website and Web App.

By accepting these Terms, the User acknowledges that there may be terms and conditions or privacy policies which apply for the use of third-party services. The Provider holds no or limited control over the malfunction or disruption of third-party services and does not guarantee them. The Provider is not liable for any third-party services or any third-party content.

Please note that a third party, which maintains your payment account, enables the Provider to use its services in order for the Provider to be able to access information about your payment account.

9. Copyright

All content on the Study Command website, including source code, is copyright protected. Content available on this website may be used for personal use only - and only when Study Command is credited as the source. Use of any of the content on the Study Command website for reasons other than personal use, shall be considered Unacceptable Use (Section 3.3) and may result in action being taken against you, unless prior written consent is obtained from EXAZETA LTD.

10. Privacy

EXAZETA LTD treat user privacy with the utmost seriousness. The manner in which your Personal Data is collected and processed is outlined within the Study Command Privacy Policy. Acceptance of these Terms also requires acceptance of the Study Command Privacy Policy (as outlined in Section 1).

11. Limitation of Liability

To the fullest extent allowable by law, EXAZETA LTD will not be responsible for any loss or damages of any kind arising either directly or indirectly from the use of this website, web app, infomation contained within the website or web app, or any uses in breach of the Disclaimer (Section 2).
To the fullest extent allowable by law, EXAZETA LTD will not be responsible for any loss or damages of any kind arising either directly or indirectly from a failure of the website or delay in service. Such a failure of the website or delay in service cannot be deemed a breach of contract.
To the fullest extent allowable by law, EXAZETA LTD will not be responsible for any loss or damages of any kind arising as a consequence of any interaction with the Study Command website that has not previously been mentioned.
As mentioned in the Disclaimer (Section 2), no aspect of this website or its contents constitutes medical advice of any kind and should be used for educational and revision purposes only.
Your statutory rights are not otherwise affected by these Terms.

12. Indemnity Clause

As a user of this site, you are liable to cover, in full, the cost of any loss or damages caused to EXAZETA LTD, which result from your actions.

13. Changes to these Terms and Conditions

EXAZETA LTD reserves the right to make changes to these Terms at any time. However, if a significant change is to take place, then reasonable efforts will be made to contact account holders and notify them of this. For the avoidance of doubt, it is recommended that users check these terms and conditions periodically to ensure that they still agree to be bound by them.
